INTRODUCTION TO ESTONIAN COMPANY FORMATION

Estonia’s economy has boomed in recent years as it has pursued a liberal business agenda in preparation for EU membership which was finally achieved in 2004. Estonia is in Euro zone since 2011.
A limited company registered in Estonia is liable for tax at the rate of 22%.

• The tax does not apply to accumulated undistributed profits of company in Estonia;
• The tax applies to an actual distribution of profits by the Estonian company, mainly to dividends that have been distributed. The tax payable is at the rate of 22/78 of the actual payment (22% of the gross profit).

ESTONIAN COMPANY FORMATION REQUIREMENTS

• The minimum share capital for registration of an OÜ (Ltd) company in Estonia is € 2,500;
• Foreign board members of company registered in Estonia (residing outside European Union) should have Estonian “contact person” to represent the company at tax offices. Estonian company board members from Europe are required to submit to the registrar of companies in Estonia a residential address, e-mail address and telephone number for communication with tax office;
• Company registered in Estonia can be transferred remotely

• In Estonia registered company from the shelf with valid EU VAT number, paid-up Estonian company share capital and bank account. Including: Estonian company name change, amending company statutes, changing company director(s) and shareholder(s) in Estonian register of companies;
NB! Personal 1 day visit to Tallinn is required for company bank account introduction. For remote company bank account opening in Estonia, additional costs will be applied.
• Legal company registration address services in Estonia for 1 year. First year service must be paid up front;
• Basic accountancy fee for company registered in Estonia. First quarter services for company must be paid up front.

HOW TO REGISTER A COMPANY IN ESTONIA?
