INTRODUCTION TO DUTCH BV COMPANY REGISTRATION

The Netherlands has long been a favourite home for foreign investors. It has a stable and successful economy and a trade and investment policy that’s one of the most open in the world. Dutch company tax law is known as one of the most liberal as well. Companies registered in Netherlands can benefit from this liberal tax regime which includes exemption of corporate income tax for received company dividends and realised capital gains.

Although in the Netherlands are four major company forms we usually recommend the registration of Dutch BV (private limited company) companies for holding and trading purposes.

REQUIREMENTS FOR BV COMPANY FORMATION IN THE NETHERLANDS

• Min. 1 BV company director and shareholder required in Netherlands. In the Netherlands is allowed to register company directors and shareholders as corporate entity;
• Minimum registered BV company share capital in Netherlands - €18,000. This amount should be deposited at time of Dutch company registration;
• If Dutch company nominee directors from Netherlands used, both company transfer and bank account introduction can be done remotely, otherwise, personal visit required;
• Company accounting obligations are required in Netherlands (see special offer below);
• Due diligence forms needed to be completed on Netherlands company beneficial owner source of funds and business activity. Although needed reference letter on Netherlands company beneficial owner;

NOTES TO COMPANY INCORPORATION IN THE NETHERLANDS

If Duch BV company managing directors are used, they must be co-signatory with the client to the bank account (i.e., client cannot solely manage the company bank account).

WHAT IS NEEDED FROM ME FOR BV COMPANY FORMATION IN THE NETHERLANDS?

In order to commence the BV company formation procedure in the Netherlands, we will require the following:

• 100% of the Netherlands company formation cost (payment by bank transfer preferred);
• A completed BV company registration application form and due diligence form;
